Name of the company
The first step of the start-up process is the registration of the company name in the central register of the company (Registro Mercantil Central). To do this, you need to give us three different name options to make sure that at least one of the names is accepted as a company name, as there is a likelihood that some of the names have already been adopted by other companies. We would suggest a list of possible options if all of them are already taken. We would file the application on behalf of the shareholders and pay the fees to the registry.
Never number
If you are not a Spanish citizen or have a Spanish tax code, you, as a shareholder, shareholder or director, must apply for an NIE number before opening a bank account, registering with the tax office or signing the formation. Once the NIE_number and the company name certificate are issued, we can apply for the bank account of the company, even if the company has not yet been founded. In Spain, banks allow you to open a bank account only with these two documents (NIE and company name certificate), although it will only work once the entire startup process has been completed. The minimum amount for a limited liability company (Sociedad Limitada) is 3,000 euros (which can also be provided as a contribution in kind).
Founding document / Express foundation
Since we received the NIE, the company name and the capital certificates, we will apply to the notary for an appointment for the founding signature. The Articles of Association of the Company must be prepared in accordance with the activities of the Company, the shareholders and the Directors. It is therefore essential to get a clear picture of these issues before that time. Depending on the activity of the company, it can be sent to the business register in a telematics application, which requires quick registration. These are referred to as "express companies" and are only possible if the shareholders are natural and not legal entities.
Company Registration
The company registration has different levels. After the founding signature and after registration of the shareholders with the tax office, we can apply for the provisional VAT registration number of the company at the tax office. If it is an express company, the certificate will be sent to the business register via a telematics application. If not, it will be submitted in person. The registration process takes about 7 days.
The current taxation format for companies in Spain is 15% of the profit of the first two years of the existence of new companies. After this period, the tax rate rises to 25%, from a profit of 300,000 euros, the tax rate would be 28%. The maximum tax rate for companies is 30%.
The general VAT rate is 21% and is paid by invoicing companies. The only exception is companies based in the Canary Islands or European companies if the Spanish company has the European VAT identification number. Otherwise the VAT has to be calculated.
